MAIN DUTIES AND RESPONSIBILITIES
You will be working as part of our market leading corporate team and will undertake a broad variety of work that will cover our core corporate services:
- Advising on mergers, acquisitions, private equity/fund investments, disposals, corporate reorganizations, buy-ins, buyouts and joint ventures
- Engaging in the drafting, negotiating, and reviewing of a wide variety of contracts related to extraordinary transaction, including share purchase agreements, investment agreements, shareholders agreements, joint venture agreements, disclosure letters, engagement letters, confidentiality agreements, offering memoranda documents ancillary to the above agreements
- Providing advice guidance and support on various corporate and corporate governance matters.
- Dealing with due diligence activities.
- Drafting and negotiation commercial contracts and advice on commercial matters.
ABOUT YOU
- Experience of M&A transactions and private equity across a range of sectors
- Graduated with excellent academic marks, and admitted to the Italian bar
- Excellent communication and drafting skills in Italian and English
- Service minded, organized and able to meet deadlines
- Positive mentality with a “can do” attitude
- Demonstrate a desire to achieve excellence
- Open to changing environment which requires daily learning
