Legal Counsel (Procurement Contracts)

Mission

•       Support AXA GO on negotiating commercial contracts with third-party vendors and act as a strategic Business Partner.

Activities:

The Legal Counsel will cover all AXA GO procurement legal activities, and notably:

• Design, negotiate and monitor the conclusion of a wide range of agreements with vendors/suppliers and other third parties (IT and non-IT, General Expenses, Real Estate, trademarks, etc.) in French Law;
• Animate and support Group initiatives where dedicated Legal expertise is requested on procurement related projects (large contracts negotiation, intellectual property, etc.);
• Train and raise awareness about Legal/Regulatory items to non-expert people or external families (Knowledge Management);
• Maintain technical expertise in field and promote it internally.

Main Tasks

These responsibilities involve negotiating a variety of commercial agreements with third-party vendors on a regular basis, as well as handling frequent one-off projects, especially IT and outsourcing projects. 

The goal of these responsibilities is to ensure that AXA GO always complies with international and local laws and regulations, and avoids exposure to sanctions, fines, or lawsuits.

Skills 

•        Master’s Degree in French law (LL.M. outside France or foreign Legal Degree is a plus);

•        Commercial legal experience in law firm(s) and/or in-house;

•        High standards knowledge in IT law, contract, etc.;

•        Minimum 2 years' solid legal experience in negotiation of contracts, with strong background in negotiating IT contracts (e.g. with software editors);

•        Ability to work in an international and culturally diverse environment;

•        Familiar with professional regulations;

•        Self-motivated, creative and autonomous with good interpersonal skills;

•        Outstanding drafting skills;

•        Fluent English and French is a must.  

§ Technical expertise:

•        Understanding of customer activities to identify the risks and issues in their environment and implement efficient solutions with minimum impacts on the day to day work;

•        High level of understanding of IT business and related legal/regulatory items.

•        Ability to provide advice regarding legal matters in accordance with AXA’s strategy;

•        Ability to identify legal and reputational risks;

•        Delivering legally compliant documentation with favorable provisions and in line with best available market practice;

•        Giving ad hoc oral advice, in particular to Business, on a daily basis.

§  Transaction Management / Negotiation & Drafting Skills:

•        Ability to negotiate and draft complex legal documentation in English, and potentially in French;

•        Ability to draft internal presentations and memos for internal clients;

•        Translating business decisions into legal documentation;
